Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LinkTR, Inc. ("LinkTR," "Company," "we," "our," or "us") governing your access to and use of the LinkTR competitive intelligence platform, website at linktr.cn, APIs, and associated services (collectively, the "Service").

By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you affirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

Description of Service

LinkTR provides a software-as-a-service (SaaS) competitive intelligence platform that aggregates, analyzes, and delivers signals about companies of interest to business professionals. The Service includes:

• A company watchlist and tracking system
• An intelligence feed presenting analyzed signals about tracked companies
• Email digests, real-time alerts, and push notifications
• A REST API for programmatic access (on eligible subscription tiers)
• Integrations with third-party platforms (Slack, CRMs, etc.)
• Dashboard analytics and reporting tools

All intelligence signals are derived from publicly available sources. LinkTR does not provide, and you may not use the Service to obtain, material non-public information, insider trading information, or any data obtained through unauthorized access to third-party systems.

LinkTR reserves the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of features.

Account Registration

To access most features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your password confidential and not share it with any third party
• Notify us immediately of any unauthorized access to your account at security@linktr.cn
• Be responsible for all activities that occur under your account

You may not create more than one account per person or use another person's account without their express permission. Business team accounts allow multiple seats as permitted by your subscription plan.

LinkTR reserves the right to refuse registration, terminate accounts, or remove content at our sole discretion, including if we reasonably believe that you have violated these Terms.

Subscription & Billing

Plans and Pricing

LinkTR offers Free, Pro, and Team subscription tiers. Pricing, features, and limitations for each plan are described on the pricing page at linktr.cn/pricing. We reserve the right to change pricing with 30 days' notice to existing subscribers.

Payment

Paid subscriptions are billed in advance on a monthly or annual basis. By providing payment information, you authorize us to charge the applicable subscription fees through our payment processor (Stripe). All fees are in US Dollars unless otherwise stated.

Renewals and Cancellation

Subscriptions renew automatically unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access until then.

Refunds

We offer a 14-day money-back guarantee for new Pro subscriptions. Refunds outside of this window are considered on a case-by-case basis. Annual subscriptions may be refunded pro-rata within 30 days of the annual renewal date if the Service has a material, unresolved outage. To request a refund, contact billing@linktr.cn.

Taxes

Subscription fees are exclusive of applicable taxes. If we are required to collect taxes in your jurisdiction, those will be added to your invoice.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. The following activities are expressly prohibited:

• Using the Service to obtain, process, or distribute material non-public information for securities trading purposes
• Attempting to reverse engineer, disassemble, decompile, or extract source code from any part of the Service
• Scraping, crawling, or mass-downloading data from the Service beyond normal usage patterns
• Reselling, sublicensing, or redistribution of Service data or outputs to third parties without prior written consent
• Using the Service to harass, stalk, or harm individuals or companies
• Uploading or transmitting malware, viruses, or malicious code
• Circumventing, disabling, or interfering with security features of the Service
• Creating multiple accounts to circumvent plan limits or free tier restrictions
• Using automated bots or scripts to interact with the Service beyond authorized API usage
• Violating any applicable local, state, national, or international law or regulation

Violation of these provisions may result in immediate account termination without refund and, where applicable, referral to law enforcement.

Intellectual Property

LinkTR's Rights

The Service, including its software, algorithms, user interface, design, logos, trademarks, and all compiled intelligence content ("LinkTR Content"), is owned by LinkTR, Inc. and protected by copyright, trademark, patent, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service or LinkTR Content beyond the limited right to use the Service as described herein.

Your Rights

Subject to your compliance with these Terms and payment of applicable fees, LinkTR grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business purposes.

Your Content

You retain ownership of any content you submit to the Service (such as watchlist configurations and custom notes). You grant LinkTR a limited license to process and store this content solely to provide the Service. We will not use your specific watchlist data for competitive benchmarking products or share it with other users.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant LinkTR a perpetual, irrevocable, royalty-free license to use such feedback without restriction or compensation to you.

Data & Privacy

Your privacy is important to us. Our collection and use of personal information in connection with the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.

For Enterprise and Team customers who require a Data Processing Agreement (DPA) to comply with GDPR or other data protection regulations, please contact legal@linktr.cn. We will execute a DPA that reflects our obligations as a data processor.

The intelligence signals delivered through the Service are derived from publicly available information. If you believe that information about your company displayed through the Service is inaccurate or should be removed, please contact data@linktr.cn.

Disclaimer of Warranties

LinkTR does not warrant that: (a) the Service will meet your requirements; (b) the Service will be available uninterrupted, timely, secure, or error-free; (c) information provided through the Service will be accurate, complete, reliable, or timely; or (d) any errors in the Service will be corrected.

Intelligence signals and analyses provided through the Service are for informational purposes only and do not constitute legal, financial, investment, or business advice. You are solely responsible for any decisions made based on information obtained through the Service.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LINKTR, INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, goodwill, or other intangible losses
• Any damages resulting from your inability to access or use the Service
• Any unauthorized access to or use of our servers or your personal information
• Any bugs, viruses, or other harmful code transmitted through the Service
• Any errors or omissions in intelligence data or the failure to deliver timely signals

LINKTR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LINKTR IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless LinkTR, Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service, including any data or content you submit
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your violation of any applicable law, regulation, or third-party agreement
• Any fraud, misrepresentation, or willful misconduct by you

Termination

You may terminate your account at any time by visiting your account settings and selecting "Delete Account" or by emailing support@linktr.cn.

LinkTR may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or our Acceptable Use Policy
• Non-payment of applicable fees
• Requests by law enforcement or government agencies
• Extended periods of inactivity (with prior notice)
• Discontinuation of the Service

Upon termination, your right to use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, disclaimer of warranties, limitation of liability, and governing law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from or related to these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court, except that either party may seek injunctive relief in court for intellectual property infringement or misappropriation. The arbitration shall take place in San Francisco, California, or via video conference.

You and LinkTR agree that any dispute resolution proceeding will be conducted on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court, you waive any right to a jury trial.

Notwithstanding the above, if you are a resident of the European Union, the mandatory consumer protection provisions of your country of residence may apply to you in addition to or in place of the above.
